AeroAdvisory is an aerospace industry consulting firm providing our clients with support for strategy development and execution, business development and all aspects of the acquisition process. Clients include public and private companies with activities ranging from OEM production to MRO to global engineering services.

AeroAdvisory specializes in working with both strategic and private equity firms to develop/refine investment theses within the aerospace/defense sector; identifying, approaching, and evaluating targets; conducting due diligence; negotiating transactions and supporting ownership through an active board role post acquisition. The firm works with clients within the industry, whose products include complex composite parts, subsystem component design/build, and MRO services for commercial airlines, including heavy maintenance and component repair/overhaul.

Larry J. Resnick is the principal/founder of AeroAdvisory and has extensive operational and acquisition experience gained from over 35 years in the aerospace industry. He played a vital role in the growth of Triumph Group, Inc. (NYSE:TGI, www.triumphgroup.com) from $250 million in revenue to over $1.2 billion leading its business development and mergers and acquisition functions from 2000 through 2007 as Senior Vice President – Operations. From 2008 – 2009 Mr. Resnick was CEO of Taurus Aerospace Group, a Macquarie Capital backed aerospace business with over $250M in revenue.

In June 2013, Larry J. Resnick co-led Management’s buyout of of ATS (formerly Aviation Technical Services), a subsidiary of Taurus Aerospace, from Macquarie Capital. He currently serves on its Board of Directors.

Also in 2013, he became CEO of Cadence Aerospace (now Verus), a private equity backed company providing machining services for leading aerospace OEMs and Tier One suppliers.He transitioned to Chairman in December 2014, having successfully rebuilt the management team, rebranded the company, secured significant new contracts on the A320neo family, and implemented a strong lean culture throughout Cadence.

After leaving Cadence Aerospace in 2017, Mr. Resnick served as Merger and Acquisition Advisor to The Gill Corporation from 2018 through 2024, and as Strategic Advisor to Royal Engineered Composites during the same time period.

Executive Responsibilities and Projects

Member Board of Directors – Axillon Aerospace

November 2024 – Present

SK Capital, a private investment firm focused on the specialty materials, ingredients and life sciences sectors, completed its previously announced acquisition of the North America Composites & Fuel Containment Division of Parker Hannifin Corporation (NYSE: PH). The business, which has been renamed Axillon Aerospace, is a leading provider of engineered carbon fiber composite components and fuel containment solutions for the defense and commercial aerospace markets. Axillon Aerospace generates annual sales of approximately $350 million, operates six manufacturing locations across the USA and Mexico, and employs approximately 1,700 people. AeroAdvisory supported SK Capital from the beginning of the acquisition process, through diligence, during the sign/close period, and finally transitioning to being a member of the board of directors.

Strategic Advisor – SK Capital Partners

March 2024 – Present

Supporting SK Capital Partners in the refinement of their strategy for potential investment into the Aerospace, Defense and Space market while maintaining SK’s material science focus. Assisting in buy-side due diligence.

Board Member – ATS

2013 – Current

Following the management led buyout in 2013, ATS completed a recapitalization on October 1, 2015, with JLL Partners taking a significant ownership interest, while management retained a large stake in the business. Larry Resnick remained on the Board and active in the business, supporting its growth strategy. He originally joined the Board after helping lead the management buy-out in June 2013.

ATS is one of the largest third-party, commercial transport aircraft maintenance, repair and overhaul (MRO) providers in North America. Specializing in Boeing and Airbus commercial aircraft, our FAA Class 4 Airframe Certification Rating enables ATS to perform airframe MRO (Maintenance, Repair and Overhaul) services on virtually any aircraft. Our skilled technicians complete all stages of airframe heavy maintenance, repair, and modification. ATS has one of the most comprehensive aircraft component repair operations in North America, with a broad portfolio of capabilities on over 20,000 base part numbers for the commercial and military aviation markets with repair centers are in Everett, WA and Forth Worth, TX, both FAA and EASA certified. ATS Engineering specializes in making the MRO process better through reducing span times, increasing mechanic efficiency, and lowering overall costs through maintenance prevention strategies including targeted delivery of PMA parts and STC offerings. Lastly, our Ranger Aerospace team focuses on stocking and distribution services for the industry.

Merger and Acquisition Advisor – The Gill Corporation

2018 – 2024

AeroAdvisory, worked with the Gill Corporation to identify and acquire strong, profitable businesses that were consistent with Gill’s strategy to grow its advanced composite product offerings for large and regional commercial aircraft, business jets and military transports, helicopters and fighters.

Strategic Advisor – Royal Engineered Composites

August 2019 – 2024

Worked with the Senior Leadership team and the Board of Directors, provide guidance and support for activities related to business development, growth strategy and long-range planning.

Chairman & Board Member – Cadence Aerospace

2012 – 2017

Appointed to the Board in May 2012 after supporting Court Square Capital’s purchase of PRV Aerospace, renamed Cadence Aerospace in 2013. Appointed CEO in March 2013 after the retirement of the prior CEO. Cadence completed its first acquisition under Court Square ownership with the purchase of Astro Spar, Inc. AeroAdvisory led the due diligence effort and was the primary interface for the sell-side advisor, Janes Capital Partners. 2013 focused on building a management team capable of fulfilling Cadence’s strategy of becoming one of the dominate machining service suppliers to the aerospace industry and tripling revenues under Court Square’s ownership through a combination of organic and external growth. Transitioned to Chairman in December 2014 after completing the rebuilding of the leadership team, securing several significant new contracts with our largest customers, developing a strong continuous improvement culture throughout Cadence and successfully rebranding the company. The business was sold to Arlington Capital Partners in 2017.

Member Board of Directors – LMI Aerospace, Inc.

2017

Elected to the Board of Directors, effective 1/1/2017. Part of the Board's subcommittee which reviewed the unsolicited offer from Sonaca to acquire LMI Aerospace. The transaction closed in June 2017, resulting in LMI Aerospace becoming a private company, and provided shareholders a significant stock price premium.

2011 – 2016

Worked with the Senior Leadership team and the Independent Directors, provide guidance and support for activities related to business development, design/build infrastructure, acquisition strategy/implementation and team building.

Board Member - Nobles Worldwide, Inc.

2011 – 2014

Nobles Worldwide was sold by Inverness Graham Investments in March 2014 to Levine Leichtman Capital Partners, concluding a successful three-year ownership period during which the Company achieved double digit growth in revenue and EBITDA. In addition, under Inverness Graham, the Company was transformed from a single product, composite chute company to a full-service system design and integrator. Nobles Worldwide is recognized around the world for its superior durability, cutting-edge designs and rigorous quality assurance. The lighter, stronger, more flexible materials of their ammunition chutes, magazines, gun mounts and weapon stations are second to none‹extending the life of their products and most importantly, saving lives.

Nobles Worldwide is the largest supplier of ammunition feed systems to the U.S. military. The Nobles name is on nearly every major weapon system in the U.S. military inventory and on over 40 weapon platforms in more than 30 countries.

All Metals Processing acquisition of Embee from Triumph Group, Inc.

2016 – 2017

AeroAdvisory, LLC supported All Metals Process and Watson Family Investments in their acquisition of Triumph Processing - Embee Division, Inc. from Triumph Group, Inc. The process spanned eleven months and involved several complex issues. Embee generated $42 million in revenue for the fiscal year ended March 31, 2017 and is a significant addition to All Metals Processing's capabilities, customers base and revenue.
